Legal

Terms of Service

The agreement between your organisation and Nexpod for using Cloud Servers, Serverless, Instant Clusters and Nexpod Hub.

Last updated 20 October 2026

Placeholder text

This page shows the layout of Nexpod's terms of service. The wording is a draft placeholder, not a binding document and not legal advice. Items in [brackets] still need real values.

These terms form the agreement between Nexpod [legal entity name] and the organisation that creates a Nexpod account ("you"). Nexpod is offered to businesses only.

Each section starts with a one-line summary. The summary helps you read; the full text underneath is what applies.

01

The agreement

In shortCreating an account means your organisation accepts these terms.

By creating an account or using the API you confirm that you may bind your organisation to these terms. An order form or reserved-capacity agreement signed with us takes priority where it says something different.

02

Your account and keys

In shortKeep API keys secret. Activity under your keys counts as yours.

  • Give accurate details and keep them current.
  • Keep API keys and passwords secret, and rotate a key as soon as you suspect it leaked.
  • You are responsible for everything done with your account and keys, including by your team members.
03

What we provide

In shortDedicated 8-GPU servers, Serverless endpoints, clusters and templates, in the regions we list.

We provide Cloud Servers, Serverless, Instant Clusters and Nexpod Hub in the regions shown in the console. On-demand capacity depends on availability at the moment you request it. Reserved capacity is guaranteed for the term you sign.

04

Prices and billing

In shortRates in euros, metered per second from ready to stop, invoiced monthly.

  • Rates are listed on the pricing page in euros, excluding VAT.
  • Compute is metered per second, from the moment a resource reports ready until it is stopped or deleted.
  • You pay by card or from prepaid credit. Invoices are issued monthly and are due within [14] days.
  • We announce rate changes at least 30 days in advance. Reserved rates stay fixed for their term.
05

Reserved capacity

In shortA fixed number of servers at a fixed rate, for a fixed term.

A reservation commits you to the servers and term in your order form, billed monthly whether or not the servers run. Ending a reservation early is possible on the terms set out in that order form. [Placeholder: early-termination terms.]

06

Acceptable use

In shortNothing illegal, nothing that harms others or the platform.

  • No content or activity that is unlawful where you or we operate.
  • No attacks on other networks, no scanning of systems you do not own, no spam.
  • No cryptocurrency mining without a written agreement with us.
  • No reselling of raw capacity unless you are in the partner program.
07

Your data

In shortWhat you upload stays yours. Back it up.

You keep every right to the data, models and code you put on Nexpod. We process it only to provide the service, under the data processing agreement. Volumes are durable but they are not a backup; keep copies of anything you cannot afford to lose.

08

Availability and support

In shortWe aim high, plan maintenance ahead, and tell you when something breaks.

We announce planned maintenance at least 72 hours ahead on the status page. Service levels and any credits for missing them are described in [placeholder: service level document]. Support is available through the console and the contact page.

09

Suspension and ending the agreement

In shortYou can leave any time. We suspend only for unpaid bills or serious misuse.

You can close your account at any time; usage up to that moment is billed. We may suspend resources for invoices more than [30] days overdue or for a breach of acceptable use, and we warn you first unless the harm is immediate. After closing, data is deleted on the schedule in the Privacy Policy.

10

Liability

In shortEach side's liability is capped. Some things can never be capped.

Neither party is liable for indirect or consequential loss, such as lost profit or lost data. Each party's total liability is limited to the fees paid in the 12 months before the claim. These limits do not apply to fraud, wilful misconduct, or anything else the law does not allow to be limited. [Placeholder: to be reviewed by counsel.]

11

Governing law

In short[Country] law, [city] courts.

These terms are governed by the law of [EU member state]. Disputes go to the competent courts of [city], unless mandatory law gives you another forum.

12

Changes to these terms

In short30 days' notice by email before a change applies to you.

We may update these terms. Changes take effect 30 days after we email account owners. If you disagree, you can close your account before that date; you are billed only for usage up to then.
